Co-Hosting Terms of Service Agreement

Bookable Vacation Homes LLC

These Terms of Service (“Terms”) outline the agreement between Bookable Vacation Homes LLC (“Bookable,” “we,” “us,” or “our”) and you, the client (“you” or “your”), regarding our co-hosting services for short-term rental properties. By using our services, you agree to be bound by these terms.

1. Definitions

  1. Co-Hosting Services – Short-term rental management services provided by Bookable Vacation Homes LLC, including creating and optimising property listings, revenue optimisation, guest communication, housekeeping, property upkeep, etc.
  2. Property – The specific property identified above.
  3. Online Travel Agency (OTA) – Third-party booking platforms (e.g., Airbnb, Booking.com) used for short-term rentals.
  4. Client Fees – Fees outlined in this Agreement for management subscriptions, cleaning, or additional services.
  5. Subscription – The periodic fee structure (quarterly, biannual, or annual) paid to Bookable for management services.
  6. DTCM – Department of Tourism and Commerce Marketing in Dubai.
  7. Terms – These combined Co-Hosting Terms of Service, which include all sections and appendices.

2. Bookable's Responsibilities

1.Listing Creation & Optimization

  • We create and manage listings on selected Homestay Websites.
  • This includes professional photography, search-optimized descriptions, pricing automation, and calendar management through Lodgify (or equivalent).

2.Revenue Optimization

  • We utilize data-driven tools to adjust nightly rates and occupancy strategies.
  • Bookable aims to maximize property revenue without requiring prior Client consultation for every rate change.

3.Guest Communication & Booking Management

  • We handle 24/7 guest communication, reservation inquiries, and check-in/check-out coordination.
  • We may offer refunds or partial credits to guests if necessary to maintain positive reviews. (See Payment Terms for revenue
    adjustments.)

4.Housekeeping & Maintenance

  • Bookable oversees professional cleaning (bedding, towels, amenities) after each check-out.
  • We can also arrange maintenance or emergency call-outs. Additional fees may apply (see Fees & Payment).

5.Property Upkeep & Compliance

  • The Company ensures DTCM compliance, including annual permits (The client bears the permit cost).
  • We handle registrations, renewals, and any necessary tourism fees on the Client’s behalf.

6.Monthly Statements & Lodgify Integration

  • Bookable shares monthly consolidated statements of income and expenses on or before the 3rd of the following month.
  • Net revenue is paid out on or before the 10th of the month, provided Bookable has received funds from OTAs.
    Clients have real-time access to their Lodgify account, viewing booking details, calendars, and revenue insights.

3. Client Fees & Payment

Subscription Management Fee

  • Subscription fees can be paid Quarterly/Biannual/Annual (choose one). Invoices for existing accounts are sent 14 days in advance; new subscriptions are prorated from the start date.
  • All fees are non-refundable unless cancelled properly (see Cancellation).

Cleaning Fees

  • An invoice for your usage will be issued at the end of each month and must be settled within three days to prevent any service interruptions.

One-Time Fees

  • Account Setup Fee: AED 995 (one-time). Includes listing setup, professional photography, pre-property inspection, and initial property setup.
  • DTCM Permit: Fees depend on the Property size.
  • Additional Services: Emergency call-outs for engineer services, safety box installation, etc., may be billed separately.

Payment Responsibility & Non-Refundable Fees

  • You must purchase the appropriate management package before services begin.
  • Payments for existing accounts are due on 1st January, 1st April, 1st July, 1st October. New clients onboarded will pay prorated fees.
  • Non-refundable fees include any additional purchases or cleaning services unless a valid cancellation request applies for outstanding balances.

Revenue Distribution

  • For OTA bookings, you receive 100% of the booking amount directly from the platform; Bookable charges no additional commission.
  • For bookings made through Bookable’s website, an 10%+VAT processing fee applies, deducted from the total, and the balance is transferred to you within 3-5 business days.
  • If direct bookings involve third parties (e.g., relocations), any additional booking fees will be disclosed separately.

Maintenance & Repair Cost Threshold

  • Any repairs will require Client consent unless it’s an emergency.

4. Service Provisions

1. Cancellation

  • Either party may cancel with 30 days’ written notice, sent to hello@bookable.ae.
  • Any bookings made prior to cancellation must be honored unless otherwise agreed.

2. Co-Hosting Arrangement

  • Bookable acts as a co-host on each OTA Website for streamlined management.
  • You retain full owner rights and access to your listing(s) and Lodgify account.

3. Money-Back Guarantee

  • We provide a 90-day money-back guarantee, subject to meeting the following:
    • Minimum three-month enrollment.
    • At least 90% property availability.
    • Prompt maintenance to avoid guest cancellations.
    • Pricing & Occupancy threshold (60% minimum occupancy).
    • 30-day written notice within the first 90 days of service.
  • Refundable fees are management subscription fees.

4. Owner & Co-Host Responsibilities

  • Owners must register the property with DTCM and renew their permit each year, Bookable will notify you when it’s due.
  • Owners handle legal notices, tenant eviction processes, or rent disputes, if any.
  • Bookable promotes the property, arranges repairs under the stated threshold, and ensures ongoing marketing efforts.

5. Term And Termination

  • The minimum term is 12 months from the management start date. After 12 months, the agreement renews automatically unless cancelled with 30 days’ notice.

  • We may terminate with 5 days written notice for material breach, non-payment, or other justified reasons.

4.Effect of Termination

  • Existing bookings during the notice period must be honoured.
  • Both parties settle outstanding amounts within 14 days.
  • For bookings beyond the notice period, Bookable may relocate guests if necessary.

6. Governing Law And Dispute Resolution

This Agreement is governed by UAE laws, specifically the Emirate of Dubai.

7. Entire Agreement & Amendments

  • This document represents the entire agreement between Bookable and the Client, superseding all prior or contemporaneous communications.
  • Bookable reserves the right to amend these Terms on its website. Continued use implies acceptance of any posted changes.

8. Liability

1. Property Condition

  • The Client is responsible for ensuring the property is safe, compliant, and meets legal requirements for short-term rentals.
  • Bookable conducts inspections but is not liable for undiscovered defects.

2. Indemnification

  • Bookable is not responsible for damages or losses caused by Client negligence or force majeure events.

3. Security Deposit

  • Bookable may collect a security deposit from guests for damage coverage.
  • If damages exceed the deposit, the Client’s insurance may apply.
